He stared at the agreement for almost a minute before looking up. “You can’t trigger that clause just because I made a joke.” I said, “It isn’t because of the joke. It’s because you tried to take ownership of a company you never funded.” He called my son immediately. My son arrived twenty minutes later, pale and confused. I put the original agreement between them and explained that I’d funded the company when my son was struggling to get it started. His future father-in-law had offered to “help” by investing later, but instead he’d insisted on an ownership agreement that would eventually transfer control to his daughter.
My son looked at the signature page and then at me. “Mom, why didn’t you ever tell me?” I told him I didn’t want him to think I’d funded his business so I could control it. I had given him the money because I believed in him, and the agreement was only there to protect what I’d put in. But his father-in-law had unknowingly activated the clause himself when he tried to force the ownership transfer before the agreed date. The lawyer confirmed it that afternoon. His proposed takeover was now void, and the company would remain entirely my son’s. Then my son noticed one more paragraph I’d never mentioned.
It stated that if anyone attempted to transfer ownership without my written approval, “all outstanding obligations become immediately payable to the original financier.” My son looked at me. His father-in-law went completely silent. I said, “That company owes me nothing because I never wanted repayment. But your father-in-law just gave me the right to ask for every dollar.” He started apologizing, but I stopped him. “You weren’t worried about my money when you laughed about funding. You were worried about my money when you realized it was the only thing standing between you and your daughter’s ownership.” My son folded the agreement, handed it back to me, and said, “Mom, I think it’s time they finally knew whose company they’ve been celebrating.”
